PRIVACY POLICY – URBAN CAPSULE

Transglobal Trading Inc., doing business as and trading under the name Urban Capsule, is company based in the province of Ontario (Canada). In this Privacy Policy, Transglobal Trading Inc. shall be hereinafter referred to as “Urban Capsule”. Urban Capsule manages and operates the website www.URBANcapsule.ca. (hereinafter referred to as the “Website”). The Website features a number of different models of office pods and accessories available for sale. In addition thereto, the Website provides a wide array of information relating to such office pods, including descriptions, pricing, financing options, and information regarding Urban Capsule.

 

The present Privacy Policy (hereinafter referred to as the “Privacy Policy”) shall set forth the terms and the policy applicable to personal data or information collected or obtained from the Website, as well as Urban Capsule’s handling, collection and usage of personal data or information collected. This Privacy Policy shall set forth the rights granted to users of the Website with respect to their personal data or information. 

 

Urban Capsule remains committed to protecting the privacy of its buyers and Website users. Urban Capsule employs all reasonable measures to protect personal data and information collected from, obtained or submitted on the Website. 

 

 

1. APPLICATION 

 

Any provision, supply, submission or entering of personal data or information by users on the Website (collectively referred to as the “Buyers”) shall be governed and handled according to the terms specified in this Privacy Policy. 

 

The present Privacy Policy shall apply to the collection, usage, maintenance, storage, handling and retention of personal data and information obtained from the Buyers on the Website or in connection with the Website. No other policy shall apply to the provision of personal data or information collected on the Website, unless otherwise explicitly provided by Urban Capsule.

 

2. ACCEPTANCE OF THIS PRIVACY POLICY

 

Upon using, visiting or otherwise accessing the Website, even partially, the Buyer shall be deemed to have accepted the terms of this Privacy Policy, in full and without restriction of any kind. As such, the Buyer’s usage of the Website, even partially, shall signify the Buyer’s complete acceptance of this Privacy Policy.

 

If the Buyer does not agree to be bound by the terms of this Privacy Policy, in full or in part, the Buyer’s sole recourse shall be to not use or access the Website.

 

3. APPLICABLE LAWS AND REGULATIONS

 

This Privacy Policy has been drafted and prepared in accordance with applicable privacy and confidentiality laws in Canada and in the United States, with a particular emphasis on the privacy laws applicable in the province of Ontario.

 

This Privacy Policy is consistent with all confidentiality and privacy laws applicable in North America.  There is currently no Canadian federal-level privacy law equivalent or similar to the General Data Protection Regulation 2016/679 (the “GDPR”), which is applicable throughout the European Union (EU) or in the European Economic Area (EEA). Despite the lack of similar legislation to the GDPR, many terms of this Privacy Policy remain consistent with the terms of the GDPR. 

 

While the Website may be accessed from anywhere in the world, Urban Capsule is unable to warrant that the terms of this Privacy Policy comply with international privacy laws applicable outside of North America. International Buyers therefore agree to access, visit or use the Website at their own risk, without any warranty of international compliance by Urban Capsule.

 

4. PERSONAL DATA OR INFORMATION 

 

As defined in applicable privacy laws and regulations, personal information designates data or information allowing for the identification of a particular individual person, either directly or indirectly. Personal data or information allowing for the direct identification of an individual shall include, without limitation, the individual’s name, coordinates, personal address, email, birthdate, location of birth, social insurance numbers, social security numbers, and other similar information.

 

Personal data or information allowing for the indirect identification of an individual person shall include, without limitation, the Buyer’s IP address, the Buyer’s age, the service provider selected by the Buyer, or the location of the Buyer. Such personal data or information allowing for the indirect identification of an individual person may be combined with personal information or data, data obtained from sampling other information to identify an individual person.

 

This Privacy Policy shall detail the types of personal data or information shall be collected by Urban Capsule when Buyers access or use the Website. Buyers shall be granted a series of rights in connection with their personal data or information, as set forth in this Privacy Policy. For interpretation purposes, the terms personal data or information shall refer to personal information that allows for both the direct identification of an individual person and the indirect identification of an individual person.

 

5. PLACING ORDERS ON THE WEBSITE

 

Buyers may pre-order or order a specific model of office pod or accessory available on the Website by selecting the appropriate product on the Website. To pre-order or order a product on the Website, the Buyer shall be required to select the desired model, package and quantity sought. To validate the order or pre-order, as applicable, the Buyer shall be asked to pay a deposit of one hundred dollars ($ 100.00) unless otherwise specified on the Website upon the placement of the order or pre-order by the Buyer. To complete the pre-order on the Website, the Buyer shall provide its email address, name, address and payment information, which may include the Buyer’s credit card, bank account number or other payment method as authorized on the Website. 

 

The Buyer shall provide such personal data or information on a voluntary basis. The Buyer acknowledges that such information is required to place a pre-order or order for any one (1) or more products on the Website. The Buyer agrees to comply with the payment terms specified on the Website with respect to the purchase of the product. 

 

6. PROTECTION OF MINORS

 

The Website is designed and intended for Buyers who have reached the age of majority in their country of residence. Urban Capsule does not knowingly target to minors or advertise to minors. Urban Capsule does not knowingly collect personal data or information from minors. 

 

If any Buyer has not yet reached the age of majority, the minor Buyer’s parent or legal guardian must authorize the minor Buyer’s usage of the Website. Urban Capsule encourages all minor Buyers to be accompanied by their parent or legal guardian at all times while using the Website. 

 

7. PERSONAL DATA OR INFORMATION COLLECTED

 

1. Personal Data or Information Provided by the Buyer

 

Urban Capsule undertakes to only collect personal data or information voluntarily provided by Buyers on the Website. To place an order or pre-order any product(s) featured on the Website, the Buyer shall need to provide personal data or information as specified in this Privacy Policy. Nonetheless, there is no requirement for Buyers to provide personal data or information to access or visit the Website. The vast majority of the Website shall be accessible to Buyers who have not provided personal data or information to Urban Capsule. The Buyer recognizes that certain portions of the Website relating to orders may not be accessible to the Buyer without the Buyer providing personal data or information.

 

Buyers may subscribe to the Website’s content by indicating their current and valid email address in connection with the Subscribe Now feature of the Website. Buyers are not required to subscribe to the Website’s content. If a Buyer chooses to do so to remain updated as to Urban Capsule’s activities and development, the Buyer shall be required to provide its email address via the Website. Buyers may also have the option of responding to surveys presented on the Website. Any participation in such surveys shall be voluntary and at the Buyer’s full discretion. When participating in a survey, the Buyer recognizes that the answers and selections made by the Buyer may be shared with Urban Capsule for research and statistical purposes.

 

Buyers acknowledge that unless otherwise specified on the Website, upon any Buyer’s submission of personal data or information on the Website, such as the Buyer’s name, payment information and email address, without limitation, Urban Capsule shall gain access to the personal data or information provided by the Buyer. Buyers further acknowledge and agree that Urban Capsule shall obtain access to any and all information and data provided by Buyers on the Website. Such information and data shall further include information obtained by completing a form online on the Website or subscribing to Urban Capsule’s newsletter.

 

In addition, Buyers recognize that Urban Capsule may collect personal data or information when managing or responding to Buyer inquiries, questions, fulfilling orders and handling support requests.

2. Information Obtained Passively

 

Urban Capsule may also passively obtain personal data or information that does not allow for the direct identification of a specific individual, without the Buyer’s active provision thereof. 

 

Like many other website operators, the Website uses cookies to provide Buyers with a more personalized experience. Consequently, as a result of the Buyer’s usage of the Website, Urban Capsule may obtain information passively from browser cookies, log files and other similar technologies. The information passively obtained by Urban Capsule may include the Buyer’s browsing history, selected preferences, language choice, location, and information regarding the device used by the Buyer to visit the Website.

 

Urban Capsule reserves the right to collect personal data or information obtained through network monitoring, Google analytics, and database management. The personal data or information passively obtained by Urban Capsule may not necessarily allow for the direct identification of a specific individual person as this information often consists of any of the following: an IP address, location and other information relating to a Buyer’s usage of the Website.

 

8. USAGE OF THE PERSONAL DATA OR INFORMATION COLLECTED

 

Urban Capsule shall use the personal data or information regarding the Buyers solely to fulfill the purposes expressly set out in this Privacy Policy. All usage of personal data or information collected on the Website shall be limited to the purpose for which it was collected, taking into account Urban Capsule’s legitimate business interests, and all applicable data privacy laws and regulations.

 

By using the Website and potentially providing personal data or information through the Website, Buyers acknowledge and agree that Urban Capsule may use such information to fulfill any of following purposes:

• to provide Buyers with information regarding the office pods, models and accessories offered for sale by Urban Capsule on the Website;

• to fulfill orders or pre-orders placed by Buyers on the Website;

• to provide and ship the products purchased by the Buyers on the Website;

• to allow Buyers to place orders or pre-orders for products available or featured on the Website;

• to process payments for orders and products pre-ordered on the Website;

• to comply with a binding court order, a legal obligation or applicable laws or regulations;

• to respond to a valid court, government directive or applicable legislation;

• for reasons of public interest or in furtherance of matters relating to the public domain; 

• to respond to Buyer questions, inquiries, support requests, claims and requests for information;

• to offer recommendations, personalized options and custom options on the Website;

• to inform Buyers of upcoming events involving Urban Capsule or products that may be of interest;

• to communicate with Buyers regarding Urban Capsule’s products, updates, and other matters relating to the Website;

• to send promotional materials to Buyers by email or as notifications on the Website;

• to assess the suitability and effectiveness of email campaigns, static forms and pop-ups on the Website and on Urban Capsule’s social media pages;

• to assess the Website’s features, compatibility, preferences, and suitability;

• to assess and improve the Website, and all features and options offered thereon;

• for statistical purposes to evaluate a Buyer’s usage of the Website in contrast to the usage by other Buyers, and to perform analyses based on statistics collected;

• for safety and security purposes to ensure the continuity of the Website;

• to prevent data breaches, hacks or other security breaches involving the Website.

 

Urban Capsule may collect personal data or information from Buyers, such as their email, to deliver its newsletter. Any updates to the Website, changes to products and developments may be announced in the newsletter. Unless otherwise provided, Urban Capsule’s newsletter shall be delivered to subscribing Buyers by way of email on a regular basis. Buyers may opt out of receiving this newsletter by following the instructions specified in the relevant email, as further detailed in this Privacy Policy.

 

In accordance with the obligation to minimize data usage, Urban Capsule shall limit its usage of personal data or information to that which is absolutely required to fulfill the purpose of the collection. Urban Capsule shall not use Buyers’ personal data or information in an unreasonable or excessive manner considering the purposes of the collection.

 

9. COMMUNICATION WITH BUYERS

 

Buyers acknowledge that Urban Capsule may communicate with Buyers by way of email, text message or using another medium. Urban Capsule reserves the right to send automated text messages and messages of a promotional nature. By providing its cell phone number on the Website, the Buyer consents to Urban Capsule submitting information and updates via text message. Urban Capsule may send updates regarding orders and tracking via text message.  Buyers may opt out of receiving such text messages and emails by complying with the instructions contained in the email or the text message.

10. SAFEGUARD OF PERSONAL DATA OR INFORMATION

 

Urban Capsule shall not share, disclose, transmit or otherwise provide personal data or information collected on the Website to any third party, except for those authorized under this Privacy Policy, or further to applicable laws, regulations or a valid court order. 

 

Accordingly, Urban Capsule shall safeguard personal data or information against unauthorized access, usage and disclosure.  Urban Capsule shall follow a set of stringent procedures to protect and safeguard the personal data or information of its Buyers on the Website. Despite Urban Capsule’s best efforts, Buyers acknowledge that information or data transmitted on the Internet is never fully secure and certain aspects relating to the safeguard of Buyers’ personal information or data are beyond Urban Capsule’s control. 

 

All personal data or information provided by Buyers on the Website shall be subject to the confidentiality measures set forth by Urban Capsule. Urban Capsule not share, disclose or otherwise transmit personal data or information collected on the Website to its affiliates, employees, shareholders, directors, service providers, web hosting company, payment processing company, consultants and contractors (collectively referred to as the “Affiliates”), except if required to provide fulfill any purpose set forth in this Privacy Policy. The disclosure of personal information to Affiliates by Urban Capsule shall be limited only to such information strictly required for the purposes of the Website or the purposes named in this Privacy Policy. Further, Urban Capsule shall ensure the Affiliates granted access to personal data or information are strictly bound by confidentiality obligations as binding as those set out in this Privacy Policy.

 

11. MAINTENANCE AND STORAGE OF PERSONAL DATA OR INFORMATION

 

Urban Capsule shall store and maintain the personal data or information and indirect identifiers collected from the Website in Urban Capsule’s servers or in a secure third party hosting provider’s servers. Urban Capsule reserves the right to use a third party software for purposes of storing and maintaining personal data or information collected from the Website, provided such software is secure and provides guarantees regarding the confidentiality and maintenance of information or data collected.

 

Urban Capsule expects to maintain and store the personal data or information of Buyers who purchased a product on the Website for a five (5) year term. The personal data or information of Buyers who are a potential client shall be maintained and stored for approximately three (3) years. These anticipated durations regarding the maintenance and storage of personal data or information are provided for information and reference purposes only, and may be updated or adjusted by Urban Capsule at its discretion.

12. BUYER REQUESTS

 

Every Buyer shall benefit from the right to be informed of Urban Capsule’s collection and usage of the Buyer’s personal data or information. Information regarding Urban Capsule’s collection and usage of personal data or information is specified in the present Privacy Policy. Nonetheless, if a Buyer wishes to obtain further information relating to Urban Capsule’s collection of such Buyer’s personal data or information, the Buyer may submit a written request to Urban Capsule. Upon valid written request, Urban Capsule shall disclose which Buyer data or information was collected via forms on the Website. Urban Capsule may not disclose which information was obtained by browser cookies as such information is not readily available.

 

Urban Capsule uses reasonable commercial efforts to ensure the personal data or information held on file remains valid, accurate, updated and correct. If a Buyer learns that its personal data or information held on file or from the Website is incorrect, erroneous, unusable, or otherwise incomplete, the Buyer shall have the right to request that Urban Capsule make the requested corrections and adjustments. The request for corrections and rectifications shall be transmitted to Urban Capsule via the Website’s Contact Us form or by email.  

 

Buyers may provide Urban Capsule with an explicit authorization to use their personal data or information for purposes that extend beyond the scope specified in this Privacy Policy. Any explicit authorization provided to Urban Capsule may relate to the collection, usage, storage, maintenance, disclosure and/or handling of the Buyer’s personal information. For such explicit authorization to be valid, it shall be provided in writing or as a checkmark selected by the Buyer pursuant to a disclaimer on the Website. Urban Capsule shall be authorized to use a Buyer’s personal data or information in accordance with and to the extent indicated in the authorization provided. A Buyer shall have the right to revoke the authorization granted to Urban Capsule, at any time, by submitting a written notice in accordance with the terms of this Privacy Policy.

 

13. CALIFORNIA PRIVACY LEGISLATION

 

Section § 1798.83 of the California Civil Code provides California residents with the right to request information regarding the disclosure of their personal data or information for direct marketing purposes. At this time, Urban Capsule does not engage in direct marketing, and therefore does not disclose, share, or transmit Buyers’ personal data or information for direct marketing purposes. Further, Urban Capsule does not subject its Buyers to automated decisions and profiling as a result of using the Website. In the event that Urban Capsule engages in direct marketing activities or automated decisions and profiling in the future, Urban Capsule shall ensure Buyers are notified in advance. In any such cases, the Buyers shall benefit from the right to opt out of these direct marketing initiatives.

 

14. DISCLOSURES REQUIRED BY LAW 

 

Urban Capsule reserves the right to communicate, share or disclose a Buyer’s personal data or information further to or as requested in a valid court or pursuant to a legal obligation.  Urban Capsule shall disclose all personal data or information required to comply with applicable laws and regulations. In such cases, Urban Capsule may disclose a Buyer’s personal data or information without having obtained the Buyer’s prior consent and without notifying the Buyer’s in advance. Urban Capsule shall only share personal data or information that is strictly required by the applicable legal obligation.

 

If a valid court orders requires the disclosure of a Buyer’s personal data or information, Urban Capsule shall be obligated to disclose such information according to the instructions specified in the court order. If possible, Urban Capsule shall notify the Buyer in question following its receipt of the notice of the court order. While Urban Capsule shall attempt to notify the Buyer in question prior to disclosing personal data or information pursuant to a court order, Urban Capsule cannot guarantee that the Buyer will be notified in advance. The notification to the Buyer shall allow the Buyer to attempt to secure a protective order or legal remedy to prevent the disclosure of its personal data or information.

 

15. SECURITY AND INTEGRITY OF PERSONAL DATA OR INFORMATION

 

As specified in this Privacy Policy, Urban Capsule employs strict processes to protect the security and integrity of Buyers’ personal data or information. Urban Capsule undertakes to not share personal data or information with any third party, except as provided in this Privacy Policy. Urban Capsule shall take reasonable precautions, at all times, to safeguard personal data or information from unauthorized access, leaks, disclosures, or other breaches. 

 

Despite Urban Capsule’s efforts to protect Buyers’ personal data or information, the transmission of personal information on the Internet is never one hundred percent (100%) secure. Urban Capsule cannot guarantee the security of Buyers’ personal data or information transmitted via the Website. Buyers therefore acknowledge that the provision of personal data or information on the Website shall be at their sole risk. Buyers further agree that Urban Capsule shall not be responsible for any unauthorized access, leaks, disclosures, or other breaches of Buyers’ personal data or information, except to the extent required by applicable laws.

 

16. THIRD PARTY SITES

 

The present Privacy Policy applies solely to the Website, and does not apply to any third party links, services, websites and/or applications (collectively, the “Third Party Sites”). Some sections of the Website may provide links and access to Third Party Sites, such as third party payment processors, references to financial resources and other resources. 

 

All Third Party Sites referenced on the Website are unrelated to Urban Capsule, and may not be affiliated with Urban Capsule. Any provision of personal data or information to Third Party Sites shall be governed by third party’s privacy policy and terms, and not by the present Privacy Policy. Urban Capsule shall not be responsible for any personal data or information provided to Third Party Sites. 

 

17. BROWSER COOKIES

 

The Website uses a technology commonly referred to as “browser cookies”. Browser cookies consist of small data files downloaded onto a Buyer’s device or computer upon the Buyer’s access to a particular website. Browser cookies recognize the device used by the Buyer to access the Website, are capable of tracking browsing history, and may save the Buyer’s preferences. 

 

A Buyer may disable browser cookies by turning them off or by adjusting settings. Please be advised that some portions of the Website may not be optimized if browser cookies are removed or disabled. Browser cookies may also be disabled by downloading an ad blocker, which shall block third party advertising and cookies.

 

18. AMENDMENTS TO THIS PRIVACY POLICY

 

Urban Capsule reserves the right to update, modify or amend this Privacy Policy at any time, at its discretion. The latest version of the Privacy Policy shall specify the date of the latest amendment thereto. The latest version of this Privacy Policy shall be binding and enforceable as of its publication on the Website. Any usage of the Website following the publication of the updated Privacy Policy shall be construed as the Buyer’s complete acceptance of the updated Privacy Policy.

 

19. UNSUBSCRIBING

 

Buyers may unsubscribe from Urban Capsule’s newsletter by selecting the unsubscribe option contained in the newsletter or in the email containing the newsletter. Upon opting out of or unsubscribing from Urban Capsule newsletter, a Buyer may continue to receive emails from Urban Capsule regarding products ordered or pre-ordered, services inquiries, administrative matters and this Privacy Policy.
